MEDSHIFT INSIDER REWARDS TERMS AND CONDITIONS
The MedShift Insider Rewards Program (the "Program") is offered exclusively by MedShift (also referred to as "we," "our," or "us"). Members (also referred to as "you," "your") participating in the Program agree to be bound by the MedShift Insider Rewards Program Terms and Conditions ("Program Rules"), as they may change from time to time.
The Program terms and conditions take precedence over all previous terms and conditions applicable to the Program. All Program benefits, offers, rewards, and services are subject to availability. Except as otherwise limited by applicable laws, MedShift may at any time amend, modify, supplement, or terminate the Program, the Program Rules, or the structure for earning points, even though such changes may affect the ability to obtain certain rewards. If notice of such action is required by law, it will be provided in accordance with applicable laws and regulations. If the Program is terminated, all unredeemed benefits will be forfeited without any obligation or liability and will not be honored upon termination or after the conclusion of the notice period, if any notice is required.
We reserve the right to cancel or suspend your participation in the Program in the event of fraud, abuse of rewards privileges, violation of the Program Rules, any applicable laws, or at our discretion. Any rewards points in your account will become void at that time. We may revoke some or all of your points if we determine that you received points due to an error, through fraud or deception, or in any unauthorized manner.
Members are responsible for any tax liability related to participation in the Program.
JOINING THE MEDSHIFT INSIDER REWARDS PROGRAM
Eligibility and Enrollment
Your email is your unique membership identifier and must be provided to earn points on eligible purchases. Because we use your email address to identify you as a member and to notify you of Program benefits and any changes to the Program, you must ensure that it’s accurate and current.
Membership in the Program is available to United States residents who are at least eighteen (18) years old and provides valid and accurate personal information when enrolling. Once enrolled into the Program, you are entitled to the rewards and benefits of membership as set out herein or in promotional materials.
MedShift may deny membership in the Program to any enrollee at its sole discretion and without written notice.
To receive points when shopping on store.medshift.com, you must self-identify as a MedShift Insider Rewards member by linking your store.medshift.com account, or providing your member email at Checkout. If you have an existing MedShift Store account, you will automatically be enrolled in the MedShift Insider Rewards Program. Your login for both the MedShift Store and Insider Rewards Program will be the same.
You will receive 1 point for every $1 of qualifying net spend. Some exclusions may apply and certain products and services may not qualify for the benefit.
Points are calculated based on the net purchase amount of qualifying spend. The net purchase amount is equal to the spend amount after returns, discounts, taxes, shipping, and any amounts redeemed in MedShift Rewards have been deducted. Points received for items that are returned will be deducted from your points balance.
BONUS POINTS: From time to time, MedShift will offer the opportunity to earn bonus points on certain products and purchases. Special promotions or offers may include additional exclusions, such as certain brands and products and will be disclosed within the promotion or offer terms.
Earn MedShift Rewards
Points can be redeemed at a rate of 100 points for a $1 reward. When you redeem a MedShift Reward while making a purchase, the value of the MedShift Reward will be applied against the total purchase price, including applicable taxes and fees. Restrictions apply as set out herein and in promotional materials.
Points and Rewards have no cash value and cannot be exchanged for cash or account credit. You have no ownership interest in points or MedShift Rewards, and the rewards collected do not constitute property. Points and Rewards may not be purchased or sold and are not transferable.
Benefits of Membership
Members will receive exclusive benefits in the form of points, and exclusive promotions. Communication regarding the Program, your Program account, benefits, and promotions will be sent via email. Because Program communications are generally sent via email, you are responsible for ensuring we have the most recent and accurate email. MedShift is not responsible for communications, offers, or rewards sent to out-of-date email addresses.
Eligible members may receive invitations to exclusive events and/or workshops or webinars hosted by MedShift, as well as other select benefits (collectively "Event(s)"). These Events are not predetermined, may be limited to select locations, and are developed at the discretion of MedShift. An opportunity to participate in these Events is not guaranteed due to limited dates, times, locations, and capacity. Participation in an Event may require a purchase or additional expense. Generally, you will be notified of any invitations for Events via email.
ADDITIONAL TERMS OF PARTICIPATION
If any provision of the Program Rules or the application of any such provision is held invalid, illegal, or unenforceable for any reason whatsoever, the remaining provisions of the Program Rules and the application shall not be affected.
MedShift’s failure to enforce compliance with the Program Rules shall not be construed as a waiver of any provision or right, and will not prevent us from enforcing such right in the future. Nothing in the Program Rules will limit MedShift from exercising any legal rights or remedies that it may have.
Errors or Inconsistencies
Despite our best efforts, errors occasionally occur. We reserve the right to correct such errors at any time even if it affects pending rewards or points in your account. In the event of any inconsistency between the Program Rules or other statements in related materials or marketing, the terms of the then-current Program Rules will prevail.
Limitations of Liability and Damages
YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK. NEITHER MEDSHIFT NOR ITS AFFILIATED OR RELATED ENTITIES OR ITS OEMS SHALL BE LIABLE TO ANY PERSON OR ENTITY FOR ANY DIRECT OR INDIRECT LOSS, DAMAGE, INJURY, CLAIM, OR LIABILITY OF ANY KIND WHATSOEVER BASED UPON OR RESULTING FROM YOUR PARTICIPATION IN OR INABILITY TO PARTICIPATE IN THE PROGRAM.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for damages. Accordingly, some of the above indemnities, limitations and disclaimers may not apply. To the extent we may not disclaim any warranty or limit our liability, the scope and duration of such warranty and the extent of our liability will be the minimum permitted under applicable law.
Please contact Customer Service at 800.980.0522 if you have a dispute regarding the Program. If we are unable to resolve to your satisfaction any dispute you might have related to the Program, then you may begin an arbitration proceeding.
If you and MedShift have a Dispute and our customer service team is unable to resolve your concern, you and MedShift agree to make a good faith effort to resolve it informally prior to initiating a formal arbitration proceeding.
If you intend to initiate an arbitration proceeding, you must first send a verified Notice to MedShift that describes the Dispute. The Notice must include your name and contact information (address, phone number, and email address), sufficient information to enable MedShift to identify any transaction at issue; and a detailed description of the Dispute, the nature and basis of your claims, and the nature and basis of the relief sought, with a detailed calculation.
The Notice shall be sent by mail to: MedShift, ATTN: Legal Department, 328 W Carson Blvd, Charlotte, NC 28203. You must personally sign the Notice. If the Dispute is not resolved within sixty (60) days after receipt, you or MedShift may initiate a formal dispute resolution. Compliance with and completing this informal dispute resolution process is a condition precedent to filing any formal dispute resolution proceeding; otherwise, MedShift’s decision shall be binding and final and it shall not be compelled to participate in binding arbitration.
If we are unable to resolve the Dispute through the mandatory informal dispute resolution process, you unconditionally agree that all disputes between you and MedShift will be resolved through binding individual arbitration, rather than in court. Arbitration shall be the exclusive mechanism of resolution of any Dispute. The Arbitration shall be conducted in accordance with the rules of the International Arbitration Rules of the American Arbitration Association existing as of the Effective Date and by one (1) neutral arbitrator (unless otherwise agreed in writing by the parties) appointed in accordance with the Rules. The arbitrator appointed to conduct the Arbitration must agree to render his or her opinion within thirty (30) calendar days of the final Arbitration hearing. Judgment on the award so rendered may be entered in any court having jurisdiction thereof. The Arbitration shall be conducted in the English language. All documents and evidence submitted for Arbitration pursuant to this Agreement must be in the English language or submitted with an English translation. The Arbitration hearing shall take place in Charlotte, North Carolina, United States.
CANCELING YOUR MEDSHIFT INSIDER REWARDS MEMBERSHIP
You may opt out of the Program at any time by canceling your membership. Please call 800-980-0522 to cancel.
